Terms of Service

1. Acceptance of Terms
By accessing or using Use Forma (“Service”), operated by Kundo Studio (“we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
Use Forma is a browser-based platform for freelancers and creative teams to manage clients, proposals, contracts, invoices, time tracking, and documents. The Service is provided “as is” and “as available.”
3. Accounts and Workspaces
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. Each workspace is isolated — you may only access data within workspaces where you have an active membership.
4. Plans and Billing
The Service offers Free, Premium ($19/month), and Pro ($49/month) plans. Paid plans are billed monthly through Stripe. You may upgrade or downgrade at any time from Settings. We use hard limits, not automatic overages — when you reach a plan limit, we notify you and block the action. We do not charge overage fees.
5. Payment Processing
All payments are processed securely by Stripe. We do not store your full credit card information on our servers. By subscribing to a paid plan, you authorize recurring charges until you cancel.
6. Cancellation and Refunds
You may cancel your subscription at any time from Settings > Billing. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial months. Your data remains accessible on the Free plan after cancellation.
7. Your Content and Data
You retain ownership of all content you upload or create in the Service, including proposals, contracts, invoices, documents, and client data. We do not claim any intellectual property rights over your content. You grant us a limited license to store, process, and display your content solely to provide the Service.
8. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose, (b) upload malicious files or content, (c) attempt to access other users' workspaces or data, (d) reverse engineer or scrape the Service, (e) resell access to the Service without authorization.
9. Digital Signatures
The Service provides digital signature functionality for proposals and contracts. These signatures are timestamped and stored securely. While we facilitate the signing process, we do not provide legal advice on the enforceability of digital signatures in your jurisdiction. You are responsible for ensuring compliance with applicable laws.
10. Availability and Support
We aim to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. Support is available via help@useforma.xyz.
11. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill.
12. Changes to Terms
We may update these Terms from time to time. We will notify users of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved in the courts of the State of Delaware.
